Vice President - Assistant General Counsel, M&A & International

Opportunity
The Vice President, Assistant General Counsel – Mergers & Acquisitions and International (VP, AGC – M&A and International) is a senior legal leader reporting directly to the Chief Legal Officer & Corporate Secretary. This role is responsible for leading all global M&A legal activities, overseeing domestic and international corporate governance, managing the company’s global international legal team, and serving as Assistant Corporate Secretary to the Board of Directors.
Key Responsibilities:
- Mergers & Acquisitions Leadership:
- Lead all legal aspects of global M&A, including due diligence, deal structuring, negotiation, and integration.
- Advise executives on strategic opportunities and risks.
- Manage cross-functional deal teams and external counsel.
- International Legal Leadership:
- Lead and develop the global international legal team.
- Provide counsel on international operations, compliance, and regulatory matters.
- Support global expansion and market-entry strategies.
- Corporate Governance:
- Oversee governance obligations for domestic and international subsidiaries.
- Ensure compliance with statutory requirements and best practices.
- Support subsidiary boards and leadership teams.
- Assistant Corporate Secretary Responsibilities:
- Support the CLO & Corporate Secretary in Board governance.
- Assist with Board materials, minutes, and governance processes.
- Ensure accurate and compliant corporate records.
- Leadership & Department Management:
- Lead and mentor attorneys globally.
- Support strategic initiatives, budgeting, and legal operations.
- Strategic Advisory & Cross-Functional Partnership:
- Advise senior leaders on complex commercial and strategic matters.
- Partner across functions to support enterprise initiatives.
- Risk Management & Compliance:
- Identify global legal risks and implement mitigation strategies.
- Support global compliance efforts, including anti-corruption and trade compliance.
Skills/Requirements
- Juris Doctor (JD) and bar membership in good standing.
- Corporate secretary support experience.
- 10+ years legal experience with significant M&A and international scope.
- Expertise in cross-border transactions and governance.
- Proven leadership and team development experience.
- Strong negotiation, communication, and strategic advisory capability.
- High integrity, sound judgment, and business acumen.
- Global travel required to support M&A activity, governance, and team leadership.

The salary range for this position is $232,800 - $385,500. The specific salary offered to a candidate may be influenced by a variety of factors including the candidate’s experience, their education, and the work location. In addition, this position is eligible for a performance bonus/variable incentive compensation.
